1. Acceptance of Terms
By accessing or using the AUDIGYD platform and related services (collectively, the "Services") provided by 8103763 Canada Inc. (dba OFFICEPIER), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.
These Terms constitute a legally binding agreement between you and 8103763 Canada Inc. Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
2. Service Description
AUDIGYD is a cloud-based audit management platform designed for compliance professionals, auditors, and organizations that manage regulatory compliance programs. The Services include, but are not limited to:
- AI-powered audit template generation and management
- Real-time collaborative audit workspaces with WebSocket-based live presence
- Secure evidence collection, storage, and management with AES-256 encryption
- Automated PII (Personally Identifiable Information) detection and de-identification in uploaded evidence
- Campaign-level compliance scoring and one-click report generation (PDF, Excel)
- Multi-tenant workspace architecture with role-based access control
- Mobile audit assessment capabilities via the AUDIGYD mobile application
- BYOK (Bring Your Own Key) support for Azure OpenAI and OpenAI API keys
- Malware scanning on all uploaded files
We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice of any material changes that may affect your use of the Services.
3. User Accounts
To access the Services, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
- Ensuring that your use of the Services complies with all applicable laws and regulations
Account authentication is managed through Microsoft Entra CIAM (Customer Identity and Access Management). Multi-factor authentication (MFA) may be required based on your organization's security policies or plan tier.
4. Acceptable Use Policy
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Attempt to gain unauthorized access to the Services, other user accounts, or any computer systems or networks connected to the Services
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the Services
- Use the Services to develop a competing product or service
- Use automated means (bots, scrapers, crawlers) to access the Services without our prior written consent
- Upload files containing malware, viruses, or any other malicious code
All uploaded files are automatically scanned for malware. Files that fail malware scanning will be quarantined and the uploading user will be notified.
5. Intellectual Property
Our Property: The Services, including all software, design, text, graphics, logos, icons, and the underlying technology, are the exclusive property of 8103763 Canada Inc. and are protected by Canadian and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.
Your Data: You retain all rights, title, and interest in and to the data, content, documents, and evidence you upload to the platform ("Customer Data"). We do not claim ownership of your Customer Data. You grant us a limited license to process, store, and display your Customer Data solely for the purpose of providing the Services to you.
AI-Generated Content: Audit templates, scoring suggestions, and other content generated by AI features are provided as-is for your use within the platform. You are responsible for reviewing and validating all AI-generated content before use in any official audit or compliance context.
6. Subscription & Billing
The Services are offered under the following plan tiers: Free, Starter, Professional, and Enterprise. Pricing details are available on our Pricing page and are subject to change with 30 days' prior notice.
- Free Trial: Paid plans include a 14-day free trial. No credit card is required to start a trial.
- Billing: All payments are processed securely through Stripe. We accept major credit cards (Visa, Mastercard, American Express). Enterprise annual plans may also be paid via ACH or wire transfer.
- Subscription Cycle: Subscriptions are billed monthly or annually, based on your selection. Annual subscriptions receive a 20% discount.
- Upgrades & Downgrades: You may change your plan at any time. Prorated charges or credits will be automatically applied.
- Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period. After that, your workspace will be downgraded to the Free tier.
- Refunds: Refunds are handled on a case-by-case basis. Contact support@audigyd.com for billing inquiries.
- AI Credits: Certain AI features consume credits. BYOK (Bring Your Own Key) tenants bypass the credit system entirely by using their own Azure OpenAI or OpenAI API keys.
7. Privacy & Data Protection
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy. Key data protection commitments include:
- Data Residency: Customer data is stored exclusively in the Azure region selected during tenant creation (US, EU, Canada, Australia, UAE, or UK). Data never crosses regional boundaries without explicit consent.
- Encryption: All data is encrypted at rest (AES-256) and in transit (TLS 1.3).
- PII Protection: Automated PII detection and de-identification is available for uploaded evidence files.
- Data Retention: Audit and billing records are retained for 7 years to comply with regulatory requirements. User accounts and associated data can be deleted upon request, subject to legal retention obligations.
- Compliance: We comply with PIPEDA (Canada), GDPR (EU), CCPA (California), and other applicable privacy laws.
8. Disclaimers & Warranties
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, 8103763 Canada Inc. disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Services will meet your specific requirements
- The Services will be uninterrupted, timely, secure, or error-free
- AI-generated content (templates, scores, suggestions) will be accurate, complete, or suitable for any specific regulatory context
- Any defects in the Services will be corrected within a specific timeframe
You acknowledge that compliance determinations are ultimately your responsibility. AUDIGYD is a tool to assist in audit and compliance workflows, not a substitute for professional judgment.
9. Limitation of Liability
To the maximum extent permitted by applicable law, 8103763 Canada Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, resulting from:
- Your use of or inability to use the Services
- Any unauthorized access to or alteration of your data
- Any third-party conduct on the Services
- Any AI-generated content used in official audit or compliance contexts
- Any interruption or cessation of the Services
In no event shall our total liability exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
10. Indemnification
You agree to indemnify, defend, and hold harmless 8103763 Canada Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any law or the rights of a third party
- Any Customer Data you upload, process, or store through the Services
11. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, if:
- You breach any provision of these Terms
- You engage in activity that could harm the Services, other users, or our reputation
- We are required to do so by law
- We discontinue the Services (with reasonable notice)
Upon termination, your right to use the Services will immediately cease. We will provide you with the ability to export your Customer Data for a period of 30 days following termination. After this period, your data may be permanently deleted in accordance with our data retention policies.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising under these Terms shall be resolved exclusively in the courts of the Province of Ontario, Canada. You irrevocably consent to the jurisdiction and venue of such courts.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Effective Date" above. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
For material changes that adversely affect your rights, we will provide at least 30 days' notice via email to the address associated with your account.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or agreements published by us on the Services, constitute the entire agreement between you and 8103763 Canada Inc. regarding the Services. These Terms supersede any prior agreements or understandings, whether written or oral.
